We have before us an appeal and a cross-appeal in a diversity suit that presents issues of contract law, trade secrets law, and conflict of laws. The underlying dispute between the parties, two software companies that we'll call MDBS and Dharma, arises out of a four-way deal. The Internal Revenue Service requested bids for a contract to improve the Service's computer capabilities. Unisys Government Systems, Inc. wanted to bid on this contract...
