PORFILIO, Circuit Judge.

Defendant Douglas Brown pleaded guilty to securities fraud, being an unregistered broker-dealer, and wire fraud stemming from the sale of American securities to investors in Germany. He now appeals the denial of his motion to dismiss portions of the indictment for lack of subject matter jurisdiction. The government cross-appeals the district court's loss calculation under the Sentencing Guidelines.
