In exchange for various debt instruments, Klipsch, Inc. sold nearly all of the assets from its professional loudspeaker business to WWR Technology, Inc. (WWR) and licensed WWR to use Klipsch's patents and trademarks. As part of the purchase price, WWR issued a debenture to Klipsch. When Klipsch's attempt to redeem the debenture from either WWR or WWR's parent company failed, Klipsch brought an action in district court to collect on the debenture...
