The Estate of John Dennis Shockley (Estate) appeals from both the district court's judgment rejecting its claim for Employee Retirement Income Security Act (ERISA) benefits under Alyeska Pipeline Service Company's (Alyeska) retirement plan and the order imposing attorneys' fees.
