I. INTRODUCTION

In 1989 the Browns and the Higashis entered into an agreement concerning the Browns' liquor store. The Browns contend it was a management agreement; Vickey Higashi alleges it was a sales agreement. All the documentary evidence supports the Browns' position, including sworn statements by the Higashis.
