Defendants appeal from an order of the Chittenden Superior Court directing them to purchase plaintiff's minority interest of shares in defendant corporation at the value set by the court. Defendants argue that the court erred in its valuation of plaintiff's stock by (1) basing valuation on the corporation's 1992 financial performance, (2) failing to consider plaintiff's offer to sell his stock, (3) failing to consider his minority shareholder...
