Petitioners are the son-in-law and daughter of Kermit Kraus, the former owner of 50 shares representing 50% of the stock of M. Kraus, Inc. The petitioners purchased the 50 shares from Kraus in an agreement of January 1, 1983, for $150,000, payable in $20,000 annual installments with 9% interest.
