The Granthams were involved in an automobile accident in which their vehicle was struck by another driven by Patrick Pagano. Pagano, who died in the accident, was president and principal stockholder of Lackner Pagano, Ltd. (Lackner). The Granthams brought a state court action against Lackner claiming that Pagano was within the scope of his employment at the time of the accident.
