SAM, District Judge.

The defendants Pasquale A. Basile and PaineWebber, Inc., filed motions pursuant to Fed.R.Civ.P. 12(b)(6) and 12(b)(7) to dismiss for failure to state a claim and failure to join necessary parties. The plaintiffs submitted two affidavits in response, which PaineWebber moved to strike. For reasons set forth more fully below, the court grants in part and denies in part the motion to strike and denies the motions to dismiss.
