Plaintiff, Raymond Jenkins ("Jenkins"), solely owned and operated Cabana Foods, Inc., ("Cabana"), a snack foods producer, for some twenty-nine years. He sold all outstanding Cabana stock to defendant, U.S.A. Foods ("USA"), a foreign corporation, as evidenced by a stock purchase agreement dated January 3, 1994 ("the Stock Purchase Agreement").
