Megatrend Telecommunications, Inc. (hereafter Megatrend), a Delaware Corporation with its principal place of business in Connecticut, entered into a contract in Louisiana with Rees Marine, Inc. (hereafter Rees) whereby Rees would obtain a franchise for distribution of some of Megatrend's communication equipment.
