Comprehensive Care Corporation ("CompCare") was the parent of its wholly-owned subsidiary, RehabCare Corporation ("RehabCare") until mid-1991. Subsequent to this time, however, CompCare required additional funding. To secure these funds, CompCare contractually allowed RehabCare to purchase a number of RehabCare shares.
