Defendant Squadron Ellenoff (hereinafter "the defendant") moves to dismiss the Third Amended Complaint. The motion largely relies on arguments — supported by an article in the New York Law Journal1 — which have influenced other courts to hold that Central Bank of Denver v. First Interstate Bank of Denver, 511 U.S. 164
