This appeal arises from an indemnity dispute between Defendants-Appellants Gayle and Paul R. Avenell and Plaintiff-Appellee Transamerica Insurance Company (Transamerica). Transamerica filed suit and moved for summary judgment, contending that the Avenells had breached their obligations under an indemnity contract.
