Maljack, an independent movie and video production company, sued the industry's major trade association, the Motion Picture Association of America, for breach of contract. Maljack asserted that the Association's film-rating arm had discriminated against it because it was not a member of the Association. The district court dismissed the complaint under Fed.R.Civ.P. 12(b)(6) for failure to state a claim, holding that Maljack's assertions...
