This case began as a breach of contract action between Cearfoss Construction Corporation ("Cearfoss") and MMSG Limited Partnership ("MMSG") in the Circuit Court for Baltimore County.1 The circuit court entered judgment on March 29, 1993, for Cearfoss in the amount of $141,747.39 ("Cearfoss Judgment").
