International Association of Entrepreneurs of America and associated entities (collectively "IAEA") appeals from the order dismissing its petition filed under the Declaratory Judgment Act, 28 U.S.C. § 2201. IAEA asserted exclusive federal jurisdiction to decide the merits of its ERISA claim.
