Ignazio Ugenti, the sole director, share-holder and employee of Quality First Marketing (QFM), and QFM appeal from a district court order denying Ugenti's "motion for directed verdict" based on the doctrine of res judicata in an action to pierce QFM's corporate veil.1 For the reasons explained below, we affirm.
