This declaratory judgment action was filed by Braun Welding Supply, Inc. against Praxair, Inc. and U.S. Airgas, Inc., assignees of Union Carbide Corporation, in connection with the interpretation of a "Right of First Refusal Agreement" Braun entered into with Union Carbide.
