In June, 1993, Spectrum Holobyte ("Spectrum") merged with Microprose Inc. ("Microprose"), a company co-founded by John Stealey. Pursuant to the merger, an Option Agreement was reached which allowed Spectrum to purchase up to one-half of the total number of shares in Microprose owned by Stealey if notice of exercise was given by December 18, 1994...
