Bell Paper Box, Inc., a South Dakota corporation, manufactured several hundred thousand portfolios and envelopes to the specifications of U.S. Kids, Inc., a Michigan corporation, for delivery to U.S. Kids' Minnesota packager. When U.S. Kids paid slightly less than half of the contract price, Bell sued in South Dakota state court.
