TOCI, Judge.

Robert W. Mack and his wife sued McDonnell Douglas Helicopter Company ("MDHC") and its parent company McDonnell Douglas Company ("MDC") (collectively, "defendants"), alleging negligence in implementing a corporate reorganization plan, breach of an implied-in-fact contract, and breach of the covenant of good faith and fair dealing.
