This case arises from the formation of a Texas joint venture in June 1985, the purpose of which was to purchase for investment a 51-acre tract of land in Dallas County, Texas. The co-managers of the joint venture are Defendant-Appellee Myron Goff and Harold Tollerup, a non-party to this action.
