This is an appeal and cross-appeal from the district court's attempt to equitably resolve a family quarrel over control of a closely held corporation. The corporation, defendant Madison Holding Company, was owned and controlled by two brothers, Elmer Lange and Jean Lange. Upon Elmer's death, Jean—the sole surviving director—took action to wrest control of the corporation from Elmer's widow...
