WOLLMAN, Circuit Judge.

Robert Bennett, Gene Beckman and Clark Jones (the "Retirees") sued under the Employee Retirement Income Security Act (ERISA), 29 U.S.C. § 1001 et seq., to enforce the pension-related terms of an asset purchase agreement. The district court1 granted summary judgment to the employer, and the Retirees appealed. We remanded the case to the district court for a further ruling. We now affirm.
