Roy Tassinare and twenty-one other named plaintiffs appeal their action for breach of fiduciary duty against the directors of American National Insurance Co. As current or former American National employees, the plaintiffs allege that the directors' failure to secure certain pension benefits violated fiduciary duties imposed by the Employee Retirement Income Security Act ("ERISA").
