Plaintiffs Kalanges and Lemieux are shareholders in the Champlain Valley Exposition (the Fair). Plaintiffs are appealing a superior court decision denying their challenge to the Fair's status as a nonprofit corporation, the method and price of sale of its stock and their demand for access to the Fair's corporate records.
