This case raises the issue of whether Southeast Mississippi Bank (the "Bank"), a predecessor-in-interest to First United Financial Corporation ("plaintiff"), was a bona fide purchaser of stock pledged by Sarah Myatt O'Dom's husband, Richard O'Dom. The district court found that the Bank was a bona fide purchaser, and consequently held that the plaintiff was the lawful owner of the stock and was further entitled to compel registration...
