Involved here is a practicing psychiatrist, persuaded by others who played an active role in the venture, to passively invest in the stock of a proposed savings and loan association. The venture was not a success and the psychiatrist later filed suit against the active participants and the loan association alleging breach of contract and violation of various securities laws.
