ORDER AND MEMORANDUM OPINION

GRAHAM, District Judge.

THIS CAUSE came before the Court upon Plaintiff/Counterdefendant Interstate Funding Corporation's ("IFC") and Counterdefendant Internal Revenue Service's ("IRS") Motions for Summary Judgment, (D.E. 6, D.E. 13). For the reasons stated in the memorandum opinion below, the motion for summary judgment is granted in favor of IRS.
