ROSENTHAL, District Judge.

The Resolution Trust Corporation, in its Corporate Capacity, ("RTC"), sued the former outside directors of Commonwealth Savings Association ("Commonwealth"). After the outside directors filed motions to dismiss under Fed.R.Civ.P. 12(b)(6), the RTC amended its complaint. The outside directors now renew their motion to dismiss (Docket Entries Nos. 42 and 46), and ask the court to hold that the amended complaint...
