All defendants move to dismiss the complaint. Defendant First Constitution Bank also moves, as an alternative, for summary judgment.

BACKGROUND

According to the complaint1, Plaintiff Nicholas A. Attick, Jr. ("Attick") is the president of plaintiff Dana Investment Corporation ("Dana") (Complaint ¶ 9).
