The Court has before it Motions to Dismiss Plaintiff's Amended Complaint filed by all Defendants other than Baltimore Bancorp ("the Bank") and the materials submitted by the parties relating thereto. The moving Defendants can be placed into three groups: Alex. Brown & Sons, Inc. ("Alex. Brown"), the Management Defendants,1 and the Outside Directors.2
