MUNSON, Senior District Judge.

On August 16, 17, and 18, 1989 and on October 23, 1989 this court at the United States Courthouses in Utica, New York and Auburn, New York presided over the nonjury trial in this case. The parties' post-trial memoranda were filed on April 25, 1990. This Memorandum-Decision constitutes the court's findings of fact and conclusions of law. See Fed.R.Civ.P. 52.
