Fox Development Corp. (Fox) entered into an agreement to manage the construction of TRW, Inc.'s (TRW) building expansion project. The Construction Management Agreement (Agreement) provided that the building would be constructed for a "guaranteed maximum price" of $861,950 — $783,590.91 for materials and labor, and $78,359.09 for Fox's construction management fee. A dispute arose over how much TRW owed Fox. Fox sued TRW for breach of contract...
