OPINION

WILKINSON, Circuit Judge:

This diversity case arises from an aborted transaction for the sale of a textile plant. Russell Corporation put down a deposit on the plant and now wants its money back. Russell claims that the plant's owner, Greenwood Mills, negligently failed to disclose the plant's environmental problems. Greenwood, counting on the sale going ahead, auctioned the equipment in its plant at a loss...
