Defendants John Walker and his company, John Walker Trucking, Inc. (hereafter, "Walker") purchased combines from John Deere in July of 1985, pursuant to an agreement giving Deere a security interest in the combines. In 1988, Walker sought to sell these combines, and retained Defendant O'Neil to "draft documents and memorialize certain business transactions which Walker had negotiated." O'Neil incorporated
