Plaintiff Joseph Braunstein (the "Trustee") is the duly appointed bankruptcy trustee for Melon Produce, Inc. ("Melon"), pursuant to the filing of an involuntary bankruptcy petition under Chapter 7. The petition was filed on January 27, 1988. Defendant Peter Karger ("Karger") was the President and sole shareholder of Melon.
