OPINION

DUGGAN, Justice.

This is an appeal of a declaratory judgment following a bench trial on stipulated facts. Appellee, Sunbelt Savings Association of Texas (Sunbelt), brought suit against appellant, Murphee Property Holdings, Ltd. (Murphee), seeking a declaratory judgment on two issues:

(1) whether Sunbelt should have been made a party defendant in the real property tax foreclosure suit styled
