Defendants Trish Frary and Phoenix Paper & Packaging, Inc. ("Phoenix Paper") have moved for summary judgment on Counts III, IV, V, and VI of plaintiff Frary Paper & Packaging Corp.'s ("Frary Paper") second amended complaint.1 At issue here is a "consulting agreement" between Trish Frary's former husband, David B.
