This case involves a dispute between two factions of shareholders of Woodmere Cemetery, Inc. The dispute surfaced when plaintiffs, the majority faction, decided to replace Woodmere's board of directors which was controlled by defendants, the minority faction. After plaintiffs called a special shareholders' meeting for December 9, 1988, to remove the existing board, defendants scheduled a special board meeting for December 8, 1988, for the purpose...
