Each of the two petitioners owns slightly more than 17% of the stock in respondents, Henry J. Seagroatt, Inc. (hereinafter HJS) and Seagroatt Floral Company, Inc. (hereinafter SFC). In July 1987, petitioners commenced separate proceedings against HJS and SFC (hereinafter collectively referred to as the corporations) seeking dissolution pursuant to Business Corporation Law § 1104-a.
