This CPLR article 78 proceeding raises the question of whether the New York Franchise Sales Act (Franchise Act), article 33 of the General Business Law, bans negotiations of the terms of a proposed franchise agreement between a franchisor and a prospective franchisee after an offering prospectus has been filed with the Attorney-General of the State of New York.
