Mills Company, Inc., filed suit against Crawfish Capitol Seafood, Inc., and its incorporators, Howard Champagne, Jr., Neil Melancon, and Morris Peltier, for money due on open account and recognition of a materialman's privilege. Champagne and Peltier then filed a third party demand against Melancon alleging that Melancon breached his fiduciary duties to the corporation.
