Don Marcoulier brought this action against Umsted, arising out of their business relationship as principals in the Mid-State Meat Company (Mid-State). Umsted filed a third-party claim against Marcoulier and his father, Felix, alleging that they conspired and interfered with his business relationship with Steen, the contract seller of Umsted's one-half interest in Mid-State.
