The plaintiff, Aline Halye1, brings this suit against The Lamson & Sessions Company, Russel B. Every, Gene F. Budd, and John B. Schulze ("the defendants") based on Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b). Halye also brings a state law claim based on negligent misrepresentation. The defendants have moved for dismissal of the complaint....
