This action is before the Court after removal by the respondent, British Fish Development, Inc. ("British Fish"), of a petition for corporate discontinuance and dissolution of English Seafood (USA) Inc. ("English Seafood"), filed by the petitioner, Wheeler's Restaurant PLC ("Wheeler"), in the Delaware Court of Chancery. British Fish and Wheeler are co-owners of English Seafood. British Fish removed this action to federal court...
