Plaintiff Torco Oil Company (Torco) brings this action against defendants Innovative Thermal Corporation (ITC) and two of its officers, John Rivera and H. Jenks Caldwell, each 50% owners of ITC,1 alleging breach of contract and fraud. Before this court is defendants' motion to dismiss the action based on lack of personal jurisdiction.
