Roland Webb filed this action against R.O.A. General, Inc. ("R.O.A."), a Utah corporation, and William Reagan, its majority shareholder, and others, in part to enforce his claimed right to examine R.O.A.'s corporate books and records pursuant to Utah Code Ann. § 16-10-47(b) (1987), a section of the Utah Business Corporation Act (the "Act").
