Nichols Construction Corporation ("Nichols") and Harmony Corporation ("Harmony") originally filed this suit in state court to recover $288,972.00 from the Estate of Mary Lee Poppenhouse St. Clair, as a result of an overpayment by Nichols and Harmony for the redemption of stock in these corporations.
